Terms of Service

Tynari Private Limited · Effective Date: 29 June 2026 · Last Updated: 29 June 2026
These Terms of Service ("Terms") are a legally binding agreement between Tynari Private Limited ("Tynari," "we," "us," or "our") and the person or entity using our Services ("you" or "User"). By accessing, browsing, registering for, or otherwise using any part of the Services, you confirm that you have read, understood, and agree to be bound by these Terms and by all policies they include by reference. If you do not agree to these Terms, you must not use the Services. These Terms include important provisions that affect your legal rights, including a Limitation of Liability clause, an Indemnity obligation (where you cover our losses), a Dispute Resolution section (including an optional binding arbitration clause and a class-action waiver where it can be enforced), and a Force Majeure clause. Please read them carefully.

1. Definitions

To make these Terms easier to read, we use the defined terms below throughout. Other terms are defined where they first appear. - "Services" means Tynari's websites, applications, APIs, dashboards, design tools, AI tools, bulk publishing tools, hosted stores, marketplace features, integrations, order-routing systems, payout and payment-related features, support channels, and related products and services, as further described in Section 3. - "User Content" means any content you upload, submit, store, publish, display, transmit, generate, or otherwise make available through the Services, as further described in Section 15. - "Account" means the registered account through which you access certain features of the Services. - "Seller of Record" means the seller, creator, merchant, brand, or storefront operator responsible for a given listing or transaction, as described in Section 6.3. - "Force Majeure Event" has the meaning given in Section 29. - "Applicable Law" means all laws, regulations, rules, orders, and binding guidance that apply to a party, including, where relevant, the Information Technology Act, 2000 and rules under it, the Digital Personal Data Protection Act, 2023 and the Digital Personal Data Protection Rules, 2025 (notified 13 November 2025) ("DPDP Act"), the Consumer Protection Act, 2019, the Arbitration and Conciliation Act, 1996, and applicable foreign laws such as the EU and UK General Data Protection Regulation ("GDPR") and US state privacy laws (for example, the CCPA/CPRA). - "Beta Features" means features identified as beta, pilot, early access, preview, or experimental, as described in Section 8.

2. Who Can Use the Services

You may use the Services only if you can form a legally binding contract with Tynari, and only if you follow these Terms and all Applicable Law. You confirm that: - you are at least 18 years old, or the age of majority where you live if that is higher; - you have the legal capacity and authority to enter into a binding agreement; - you are not barred from receiving the Services under the laws of India or any other applicable jurisdiction, and you are not a restricted or sanctioned party; and - if you use the Services for a company, organisation, or other entity, you are authorised to bind that entity to these Terms. If you accept these Terms for an entity, "you" means both you personally and that entity, and you confirm that you are authorised to grant all licences, make all confirmations, and accept all obligations in these Terms on that entity's behalf.

3. What These Terms Cover

These Terms apply to your use of all Services, defined above, whether you use them through a browser, a mobile or desktop app, an API, an integration, or any other means now known or developed later. These Terms apply whether you are: - a visitor to our website; - a buyer or end customer; - a seller, merchant, creator, artist, influencer, or brand owner; - a supplier, print provider, or partner; or - a developer, agency, contractor, or other business user using our APIs, integrations, or platform tools. By using the Services in any of these ways, you agree that these Terms govern that use, along with any role-specific or feature-specific terms that may apply.

4. Other Policies That Form Part of This Agreement

These Terms include by reference any other policies, guidelines, standards, or service-specific terms that we publish and identify as applying to the Services, including where relevant: - our Privacy Policy; - our Cookie Policy; - our Intellectual Property Policy; - our Acceptable Use Policy; - our Refund, Return, and Cancellation Policy; - our Shipping Policy; - our Data Processing Terms; - our API or Developer Terms; - our Marketplace, Hosted Store, or Seller Terms; and - any campaign, subscription, beta, or service-specific terms. If these Terms conflict with specific extra terms for a feature or service, the extra terms win for that feature or service, but only so far as they conflict. Unless we clearly say otherwise, these Terms and the policies they include are the entire agreement between you and Tynari about the Services.

6. The Tynari Platform and Our Role

Tynari is a technology-enabled print-on-demand, commerce, and design platform. Depending on the feature and the transaction, Tynari may provide software, design tools, AI-assisted tools, storefront tools, listing and publishing tools, supplier routing, print and fulfilment coordination, payment-related features, marketplace support, logistics coordination, and customer support. 6.1 Independent Sellers, Creators, and Merchants If you use Tynari to create, publish, sell, or fulfil products, you do so for yourself and for your own benefit, not as an employee, partner, joint venturer, or agent of Tynari, unless we clearly agree otherwise in writing. You alone are responsible for your business decisions, pricing, tax positions, and legal compliance. 6.2 Independent Print Providers and Carriers Print providers, manufacturers, personalisation partners, and carriers may be independent third parties. While Tynari may help with routing, order coordination, or support, the final production, stock availability, and delivery may depend on these third parties. Tynari does not control, and is not responsible for, the independent acts or omissions of these third parties, except where Applicable Law requires. 6.3 Merchant or Seller of Record Unless a specific checkout, service, or channel clearly says otherwise, the Seller of Record stays responsible for their listings, pricing, product descriptions, taxes, legal compliance, customer communications, returns handling, and consumer-law obligations. 6.4 Tynari as Platform Provider Tynari may act as a platform provider, processor, facilitator, or service provider, depending on the transaction. In some cases, we may also act as an independent controller or service provider for payment processing, fraud prevention, compliance, support, security, or legal obligations. Our role for data protection is described in our Privacy Policy and, where it applies, our Data Processing Terms.

7. Accounts and Security

To use certain features, you may need to create an Account. You agree to: - give accurate, current, and complete information; - keep your login details secure and private; - use strong sign-in security and turn on any available features such as multi-factor authentication; - update your information promptly if it changes; - be responsible for all activity under your Account, unless our breach caused it; and - tell us promptly at support@tynari.com if you suspect unauthorised access, lost login details, or misuse. You must not share, sell, transfer, or sublicense your Account, and you must not use someone else's Account without permission. We may suspend, restrict, or close Accounts that are inaccurate, insecure, fraudulent, abusive, or in breach of these Terms, in line with Section 23.

8. Services, Features, Beta Access, and Availability

We may add, remove, change, suspend, or stop features, products, suppliers, integrations, APIs, pricing, workflows, or parts of the Services at any time, with or without notice, unless Applicable Law requires notice. We do not guarantee that any feature, supplier, catalogue item, marketplace channel, API, or integration will stay available, uninterrupted, or unchanged. 8.1 Beta and Early-Access Features Some features may be marked as Beta Features. We make Beta Features available for you to evaluate, and they may be incomplete, unstable, unsupported, unavailable in some regions, or subject to extra terms. By using a Beta Feature, you agree that: - the Beta Feature is provided strictly "as is" and "as available", with no warranty of any kind, and may change, be suspended, or be withdrawn at any time; - the Beta Feature may contain errors or defects and may not work as intended, so you should not rely on it for production, compliance, or business-critical purposes; - we may collect and use diagnostic, usage, and feedback data about your use of the Beta Feature to evaluate and improve the Services, in line with our Privacy Policy; - any feedback you give about a Beta Feature is governed by Section 21 (Feedback); and - to the fullest extent Applicable Law allows, our liability for Beta Features is limited as set out in Section 27, and certain disclaimers in Section 26 apply with particular force. We may add extra eligibility rules, usage limits, or confidentiality obligations for Beta Features, and we may stop any Beta Feature or turn it into a paid feature at our discretion.

9. User Roles on Tynari

9.1 Buyers and End Customers Buyers may browse, customise, buy, or receive products through Tynari-powered stores, marketplaces, or integrations. 9.2 Sellers, Merchants, and Brand Owners Sellers may use Tynari to create products, publish listings, connect stores, sync orders, manage designs, route fulfilment, and sell through outside channels, hosted stores, or marketplace features. 9.3 Creators, Artists, and Influencers Creators may upload or create artwork, templates, and branded designs, publish items, take part in marketplace or hosted store features, and use Tynari tools to make money from creative work. 9.4 Suppliers, Print Providers, and Partners Suppliers and partners may use or integrate with the Services to receive orders, fulfil products, manage production workflows, and share status or performance information.

10. Bulk Publishing, Store Connections, and Integrations

Tynari may let you connect outside platforms, marketplaces, social commerce tools, advertising channels, storefronts, and other third-party systems. Tynari may also provide bulk publishing, syncing, import/export, catalogue mapping, listing help, and automation tools. You are responsible for: - making sure your connected accounts and integrations are authorised; - following the terms, platform rules, and policies of each connected third-party service; - reviewing listings before you publish or sync them; - making sure pricing, product information, images, tags, descriptions, compliance notices, and claims are accurate and lawful; and - managing inventory logic, publishing rules, and channel-specific restrictions. Tynari is not responsible for penalties, suspensions, removals, or losses caused by third-party platforms, marketplaces, API changes, or your misuse of syncing or publishing tools. When you connect a channel, you authorise Tynari through that channel's own secure authorisation process (usually OAuth), and you confirm that you are entitled to grant that access. You must comply with the terms, policies, and technical requirements of each connected channel, and with all applicable law, for everything you do through the connection. Tynari acts only on the authorisation you give and only for the operations you enable, and you remain the seller or merchant of record for your listings, prices, orders, and customer obligations. You can disconnect a channel and withdraw Tynari's authorisation at any time through your dashboard or the channel's own settings; when you do, Tynari stops accessing new information from that channel and handles existing channel data as described in our Privacy Policy and Data Processing Terms.

11. AI Tools, Tynari GPT, Trend Tools, and Smart Features

Tynari may provide AI-assisted features, for example: - Tynari GPT or seller-assistant tools; - niche and trend suggestions; - product, title, tag, description, or marketing suggestions; - image generation, editing, remixing, or enhancement; - smart mockups, mockup scenes, or video mockups; and - design templates, recommendations, and auto-layout tools. 11.1 No Guarantee of Accuracy or Commercial Outcome AI-generated or AI-assisted outputs may be inaccurate, incomplete, offensive, not unique, unavailable, or commercially ineffective. You alone are responsible for reviewing, editing, approving, and using any AI output before you rely on it, publish it, or use it for sales, compliance, legal, tax, or marketing decisions. 11.2 No Professional Advice Tynari GPT and related AI tools do not give legal, tax, accounting, regulatory, trademark-clearance, medical, employment, or other professional advice. You should get independent professional advice before acting on any AI output. 11.3 Responsibility for Inputs and Outputs You are responsible for the prompts, data, files, and instructions you submit; for checking whether outputs infringe third-party rights; for verifying factual claims and marketing statements; and for making sure your use of AI features follows Applicable Law and these Terms. 11.4 Restrictions on AI Use You must not use AI features to generate unlawful, deceptive, defamatory, infringing, abusive, hateful, or exploitative content; to impersonate others or create misleading endorsements; to create content meant to dodge platform policies or Applicable Law; to upload confidential or personal data you do not have the right to use; or to reverse engineer, scrape, extract, or build competing models or datasets from the Services, except where the law clearly allows it. More AI restrictions are in our Acceptable Use Policy.

12. Orders, Fulfilment, and Delivery

12.1 Order Submission You may submit orders manually, through a connected store, through marketplace or hosted store flows, through an API, or through other supported workflows. 12.2 Payment Before Fulfilment Unless we clearly offer invoicing or credit terms in writing, orders generally must be paid for in advance before we process, produce, or ship them. 12.3 Production and Routing Tynari may route or help route orders to suppliers, print providers, or fulfilment partners based on availability, location, product capability, pricing, delivery targets, quality settings, automation rules, or other operational factors. 12.4 Estimated Times Production, shipping, delivery, and routing times shown in the Services are estimates unless we clearly say otherwise. Delays may happen because of supplier capacity, logistics disruptions, customs, weather, Force Majeure Events, payment review, file issues, address errors, stock limits, or other causes. 12.5 Your Responsibility for Order Data You are responsible for making sure that order details, customisation fields, shipping details, artwork, sizing, recipient information, compliance notices, and product choices are correct before you submit them. 12.6 Failed Deliveries and Address Errors We are not responsible for delivery failures or extra costs that result from incorrect or incomplete addresses, refusal of delivery, unclaimed packages, import restrictions, or a recipient who cannot be reached.

13. Pricing, Fees, Taxes, Payouts, and Subscriptions

13.1 Pricing Prices shown in the Services may include product cost, printing or customisation charges, shipping charges, platform fees, subscription fees, service fees, taxes, duties, or other charges, depending on the feature, location, and transaction. 13.2 Changes to Pricing We may change pricing, catalogue prices, plan pricing, subscription fees, feature pricing, usage-based fees, routing fees, and service charges at any time. Where the law requires, we will give you notice before material pricing changes take effect. 13.3 Taxes You are responsible for the taxes, duties, levies, reporting, registrations, and tax compliance tied to your use of the Services, your sales, your payouts, and your business, unless Applicable Law or a specific service flow requires otherwise. Where we must collect or withhold tax (including tax deducted at source or withholding tax), we may do so and pass it to the relevant authority, and you authorise us to collect or withhold it. 13.4 Payouts and Withholding Where the Services include payout, earnings, referral, credit, or settlement features, the following apply: - payouts are subject to identity verification, tax documents, banking checks, anti-fraud checks, and any applicable know-your-customer and anti-money-laundering requirements; - we may set, change, or apply minimum payout thresholds, payout schedules, holding or reserve periods, and currency-conversion terms; - we may hold, delay, offset, reverse, or withhold all or part of a payout where we reasonably believe we need to in order to follow Applicable Law; to investigate suspected fraud, abuse, chargebacks, infringement, or breach of these Terms; to cover a refund, reversal, fine, penalty, or claim; to cover amounts you owe to us or to a third party through the Services; or to follow a request from a payment provider, regulator, court, or law-enforcement authority; - we may require repayment of, or set off against future payouts, any amount overpaid, paid in error, charged back, refunded, or otherwise recoverable; and - you must give us accurate and complete tax, banking, invoicing, and beneficial-ownership information, and keep it up to date; we may pause payouts where this information is missing, inaccurate, or unverified. 13.5 Chargebacks and Payment Disputes You are responsible for chargebacks, payment reversals, claims, and disputes about your transactions, including any related fees, fines, or penalties charged by payment providers or card networks. To the extent Applicable Law allows, we may deduct or recover the amount of a chargeback or reversal (with related fees) from your balance, reserve, or future payouts, or invoice you for it. We may share transaction and dispute information with payment providers, card networks, and other parties as needed to manage and contest disputes. Excessive chargeback or dispute rates may lead to extra reserves, payout holds, fees, suspension, or closure of your Account. 13.6 Subscriptions and Recurring Billing Some features may be offered on a subscription, recurring, prepaid, postpaid, usage-based, or credit-based model. If you sign up for a recurring plan: - you authorise recurring charges using your chosen payment method; - the plan continues until you cancel it; - cancelling stops future renewals but does not usually give you a refund for the current billing period, unless the law requires it or we say otherwise; and - uninstalling an app, disconnecting a store, or simply stopping use of a feature does not necessarily cancel a subscription, unless we clearly say so. 13.7 Failed Payments If a payment method fails, we may retry billing, use an authorised backup payment method, pause affected features, hold orders, suspend access, or stop services until we receive payment.

14. Cancellations, Returns, Refunds, and Reprints

Returns, refunds, reprints, replacements, cancellations, and complaint handling are subject to our Refund, Return, Cancellation, Shipping, and Quality policies, and may also depend on product type, production status, supplier policy, customisation status, and local law. As a general rule: - orders that have entered production may not be cancellable; - customised or made-to-order goods may have limited cancellation or return rights, except where they are defective, damaged, or incorrect, or where the law requires; and - you are responsible for reviewing proofs, variants, and order details before you submit them. If you are a seller or merchant, you stay responsible for your own consumer-facing policies and legal obligations, unless we clearly agree otherwise in writing.

15. Content, Designs, Uploads, and User Materials

15.1 Your Content You may upload, submit, store, publish, display, transmit, generate, or otherwise use User Content through the Services, including artwork, text, photos, graphics, logos, templates, prompts, files, product data, listings, and other materials. You keep ownership of your User Content, except for the rights you grant us under these Terms and any rights you grant to customers, partners, or platforms through your chosen publication or sales settings. 15.2 Licence to Tynari You grant Tynari a worldwide, non-exclusive, sublicensable, royalty-free licence to host, copy, store, reproduce, modify, adapt, process, transmit, distribute, publish, display, perform, and otherwise use your User Content, only as needed to operate, provide, secure, and improve the Services; generate previews, mockups, and listing assets; fulfil, package, ship, and support orders; sync products and listings across your chosen channels; troubleshoot, moderate, investigate, and enforce policies; and comply with the law and legal process. If you choose to publish content publicly through a hosted store, marketplace, public listing, shared library, or promotional feature, you also grant us the right to display, distribute, and promote that published content as part of operating and marketing that feature. 15.3 Your Responsibility You confirm that you own or control all rights needed for your User Content; that your User Content and its use through the Services do not infringe or misuse any third-party rights; that your User Content follows these Terms and Applicable Law; and that you will give us evidence of rights, licences, permissions, or authorisations if we ask for it.

16. Intellectual Property and Infringement

Tynari respects intellectual property rights and expects users to do the same. You must not upload, publish, sell, generate, reproduce, use, or distribute content that infringes or violates copyrights, trademarks, patents, publicity rights, privacy rights, design rights, or other proprietary rights. We may remove or disable content that is allegedly infringing; suspend listings, products, stores, AI outputs, or accounts; ask for proof of authorisation or ownership; share information with rights holders or authorities where the law permits or requires; and close the accounts of repeat infringers. If you believe content on Tynari infringes your rights, you may send a complaint to support@tynari.com or use the process in our Intellectual Property Policy. We may also report and act on infringement under the Information Technology Act, 2000 and the Intermediary Guidelines made under it. Tynari and its licensors keep all right, title, and interest in the Services, including all software, technology, designs, trademarks, logos, and other intellectual property. Except for the limited rights we clearly grant you in these Terms, you get no right, title, or licence in the Services or our intellectual property.

17. Prohibited Uses

You must not use the Services to: - break any Applicable Law, regulation, sanctions rule, export rule, consumer law, advertising rule, or tax requirement; - upload, publish, create, or sell unlawful, obscene, exploitative, abusive, hateful, discriminatory, defamatory, threatening, fraudulent, or misleading content; - exploit or abuse children, or create sexualised content involving minors; - violate intellectual property, privacy, publicity, or data-protection rights; - distribute malware, spyware, malicious code, or harmful scripts; - scrape, crawl, copy, reverse engineer, or extract data, models, prompts, or outputs without authorisation; - interfere with or disrupt the Services, servers, systems, or networks; - get around security, rate limits, moderation, pricing, subscriptions, or technical restrictions; - submit false orders, manipulate reviews, abuse refunds, create fake accounts, or commit fraud; or - create or sell goods, designs, or content that our catalogue, product, payments, or acceptable use rules prohibit. Your use of the Services is also governed by our Acceptable Use Policy. We may take any action we think is appropriate in response to violations, including removing content, cancelling orders, suspending features, holding payouts where lawful, closing accounts, or reporting conduct to relevant parties.

18. Marketplace, Hosted Stores, and Public Listings

If Tynari offers marketplace features, hosted stores, pop-up stores, or public listings: - you are responsible for the legality, accuracy, and quality of your listings and offers; - you must give accurate product descriptions, claims, pricing, and notices; - you must honour applicable consumer laws, promotions, shipping representations, and refund obligations; - public visibility depends on your publication settings and platform rules; and - we may moderate, prioritise, remove, or restrict listings at our discretion for policy, safety, legal, quality, or commercial reasons. Tynari does not guarantee placement, visibility, traffic, conversions, sales, ranking, discovery, or performance of any store or listing.

19. Third-Party Services and Platforms

The Services may integrate with or rely on third-party platforms, providers, payment processors, print partners, shipping carriers, cloud providers, AI providers, marketplaces, social platforms, and analytics tools. Your use of those third-party services may be subject to separate terms and policies. Tynari is not responsible for the availability, performance, acts, or omissions of third-party services, except where Applicable Law requires.

20. Data and Privacy

Our Privacy Policy explains how we collect, use, disclose, and process personal data under Applicable Law, including the DPDP Act, the Information Technology Act, 2000, and, where it applies, the GDPR and US state privacy laws. If you give Tynari personal data about customers, recipients, employees, contractors, or other individuals, you confirm that you have all the rights you need and have given all required notices and obtained all required consents or other lawful bases for that disclosure and processing. Where it applies, our Data Processing Terms govern the processing of personal data we carry out on your behalf.

21. Feedback

If you give us ideas, suggestions, feedback, recommendations, or improvement proposals about the Services, you grant Tynari a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable right to use, reproduce, and exploit that feedback without restriction or payment, unless the law prohibits it. You waive any moral rights in that feedback, to the extent Applicable Law allows.

22. Confidentiality

If you receive non-public information from Tynari about the Services, pricing, technology, product plans, suppliers, APIs, documentation, models, prompts, or business operations, you must keep it confidential and use it only as needed to use the Services as authorised. This does not apply to information that is publicly available without your breach; was already lawfully known to you; is lawfully received from a third party with no confidentiality restrictions; or must be disclosed by law, as long as you give notice where the law permits.

23. Suspension and Closing Your Account

We may suspend, restrict, or terminate your access to all or part of the Services immediately, with or without notice, if: - you breach these Terms or other applicable policies; - we suspect fraud, abuse, infringement, or unlawful conduct; - your Account creates legal, reputational, operational, or security risk; - payment is overdue; - the law, a court order, a regulator, a supplier, a payment provider, or a platform partner requires us to; or - we stop the relevant Services. You may stop using the Services at any time. Where an account deletion workflow is available, you may use it, subject to completing any pending obligations, payments, disputes, production jobs, subscriptions, legal holds, and required record-keeping. When your access ends, your right to use the Services stops, but any provisions that by their nature should continue will survive, as set out in Section 33.

24. Export Control, Sanctions, and Restricted Use

You must follow applicable export control, sanctions, customs, and trade laws. You may not use the Services if you are located in, organised in, or ordinarily resident in a prohibited jurisdiction, or if you are a restricted party, unless Applicable Law permits it and we clearly allow it. We may block, suspend, or terminate access or transactions where we reasonably believe sanctions, export, or trade restrictions may apply.

25. Reservation of Rights and Compliance Actions

We keep all rights we do not clearly grant you. Nothing in these Terms transfers ownership of the Services or our intellectual property to you. We may take steps that are reasonably necessary to follow Applicable Law, court orders, and regulatory or law-enforcement requests, including preserving and disclosing information where the law requires.

26. Disclaimer of Warranties

To the fullest extent Applicable Law allows, the Services are provided "as is" and "as available". Tynari disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, uninterrupted access, accuracy, quality, compatibility, security, or error-free operation. We do not warrant that the Services will meet your needs or achieve any commercial result; that listings, designs, AI outputs, or published products will perform well; that suppliers, integrations, or delivery partners will always be available or error-free; or that the Services will be uninterrupted, secure, or free of bugs or harmful components. Nothing in these Terms excludes, restricts, or changes any guarantee, warranty, term, condition, right, or remedy you may have under Applicable Law (including consumer rights that cannot be waived) and that cannot lawfully be excluded, restricted, or changed.

27. Limitation of Liability

To the fullest extent Applicable Law allows: - Tynari will not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages; or for loss of profits, revenue, business, goodwill, opportunity, data, or business interruption, whether based in contract, tort (including negligence), strict liability, or any other legal theory, even if Tynari was told such damages were possible; and - Tynari will not be liable for the acts, omissions, products, services, delays, errors, or failures of third-party sellers, suppliers, print providers, carriers, payment providers, marketplaces, or integrations. Subject to the carve-outs below, our total combined liability arising out of or relating to the Services or these Terms will not be more than the greater of: - the amount you paid Tynari in the 12 months immediately before the event that gave rise to the claim; or - USD 100. These limits apply whatever the legal theory, and even if a remedy fails of its essential purpose. Liabilities we cannot limit. Nothing in these Terms excludes or limits Tynari's liability for: death or personal injury caused by its negligence; fraud or fraudulent misrepresentation; gross negligence or wilful misconduct; or any other liability that cannot be excluded or limited under Applicable Law. To the extent any such liability cannot be excluded or limited, the exclusions and caps above do not apply to it, and instead that liability is limited to the smallest extent Applicable Law allows.

28. Indemnity

To the fullest extent Applicable Law allows, you agree to defend and indemnify (cover our losses for) Tynari, its affiliates, officers, directors, employees, contractors, advisers, and partners, and hold them harmless, against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the Services; your User Content; your products, listings, stores, marketing, or business practices; your breach of these Terms or any policy; your infringement or misuse of any third-party right; your breach of Applicable Law; or your dispute with any customer, supplier, partner, carrier, platform, or third party. We may, at our option, take sole control of the defence of any matter you must indemnify, in which case you agree to cooperate with us. You may not settle any matter that puts any obligation or admission on Tynari without our prior written consent.

29. Force Majeure

Tynari will not be liable or responsible for any failure to perform, or delay in performing, any of its obligations under these Terms that is caused by an event beyond its reasonable control (a "Force Majeure Event"). A Force Majeure Event includes, but is not limited to: acts of God; natural disasters, floods, earthquakes, fire, or extreme weather; epidemics or pandemics and related public-health measures; war, terrorism, civil unrest, riot, or sabotage; government action, embargo, sanctions, or change in law; strikes, lockouts, or other industrial action; failure or disruption of utilities, telecommunications, internet, hosting, cloud, or power infrastructure; supplier, carrier, or third-party platform failures; cyberattacks, denial-of-service attacks, or widespread malware events; and any other event beyond Tynari's reasonable control. If a Force Majeure Event happens, Tynari's affected obligations will be suspended for as long as the event lasts, and Tynari will make reasonable efforts to reduce its effect. This Section does not relieve you of your obligation to pay amounts due for Services already provided.

30. Governing Law and Dispute Resolution

30.1 Governing Law These Terms, and any dispute or claim arising out of or connected with them or their subject matter (including non-contractual disputes or claims), are governed by and interpreted under the laws of India, without regard to conflict-of-law principles. 30.2 Try to Resolve It With Us First Before you start any formal proceeding, you agree to first contact us at support@tynari.com and give a written description of the dispute, the relevant facts, and the relief you want. Both sides will try in good faith to resolve the dispute informally within thirty (30) days of that notice. Many concerns can be sorted out quickly this way. 30.3 Exclusive Jurisdiction Subject to Section 30.4 (Optional Arbitration) and to any mandatory rights you have under Applicable Law, the courts in Hyderabad, Telangana, India have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and you and Tynari submit to the exclusive jurisdiction of those courts. 30.4 Optional Arbitration Where both sides agree in writing, or where it is needed to give effect to the parties' intention to arbitrate, any dispute, controversy, or claim arising out of or relating to these Terms or the Services that is not resolved under Section 30.2 may be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, as amended. The seat and venue of arbitration will be Hyderabad, Telangana, India. The arbitration will be conducted in English by a sole arbitrator appointed under that Act. The award the arbitrator makes will be final and binding on both sides. Nothing in this Section stops either side from asking the courts named in Section 30.3 for urgent interim or injunctive relief. 30.5 Class-Action Waiver To the fullest extent Applicable Law allows, you and Tynari agree that each may bring claims against the other only individually, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. Where this waiver cannot be enforced under Applicable Law in a given jurisdiction, it will not apply to that extent, and the rest of this Section will still apply. 30.6 Consumer Rights Preserved Nothing in this Section 30 takes away the protection a consumer has under mandatory provisions of Applicable Law, including any right to bring proceedings in, or have a dispute heard in, a forum set by that mandatory law.

36. Region-Specific Provisions

This section sets out extra provisions that apply depending on where you are located. Where mandatory local law gives you rights that cannot lawfully be excluded or limited, those rights take priority over any conflicting provision in these Terms. 36.1 United Kingdom and EEA Consumers - If you are a consumer in the United Kingdom or the European Economic Area, you benefit from the mandatory consumer-protection laws of your country of residence, and nothing in these Terms affects those rights. - Goods must match the contract. In the UK, the Consumer Rights Act 2015 gives you remedies where goods are not of satisfactory quality, fit for purpose, or as described, including a 30-day right to reject; comparable conformity rights apply across the EEA. - Distance-selling cancellation rights (in the UK, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013; in the EU, the Consumer Rights Directive) generally give a 14-day right to cancel, except for goods made to your specifications or clearly personalised, which covers most custom print-on-demand products. - For data protection, the UK GDPR or EU GDPR applies to your personal data, and you may complain to your local supervisory authority (in the UK, the Information Commissioner's Office). - You may bring proceedings in the courts of your home country, and mandatory local law applies to that extent, despite the governing-law clause above. 36.2 United States Users - Nothing in these Terms waives any right that cannot be waived under applicable U.S. federal or state law. - If you are a California resident (or a resident of another U.S. state with comparable laws), you have the privacy rights described in our Privacy Policy, including under the California Consumer Privacy Act (CCPA), as amended by the CPRA. - Any arbitration agreement and class-action waiver in these Terms applies only to the extent applicable law permits. 36.3 India Users - If you are located in India, these Terms are governed by Indian law and the courts of Hyderabad, Telangana as stated above, and the Consumer Protection Act, 2019 and the Digital Personal Data Protection Act, 2023 (with the Digital Personal Data Protection Rules, 2025) apply to your use of the Services.
